Please read these General Terms and Conditions carefully before using the website shop.mdl.bg and before making a purchase.

The website (online store) is owned by “EMDIEL” Ltd. and hereinafter referred to as the “SITE”.

These General Terms and Conditions define the contractual relationship between the Seller – “EMDIEL” Ltd. and the users – purchasers of goods offered on the Website, in cases of purchase through means of distance communication, without the physical presence of the parties.

The Website provides the opportunity to purchase goods selected by the User, which shall be delivered to an address specified by the User within the territory of the Republic of Bulgaria.

All prices listed in the Website catalog are in euro, per unit/pair of each displayed item.

The Seller makes reasonable efforts to maintain an up-to-date price list, while reserving the right to update or terminate any discounts, promotional codes, or campaigns at any time without prior notice to the User.

Any price reduction of goods is carried out by the Seller in accordance with Articles 63–66 of the Consumer Protection Act. SHOP MDL does not individualize the prices of the offered goods based on automated decision-making involving automated processing of personal data of Clients/Users/Buyers.

Access to restricted sections of the Website is activated after registration or login into a User Account. Registration is carried out by completing a standard form published on the Website. You can find a direct link to the registration form here.
Access to the Website may be unilaterally blocked without prior notice in the event that the User is found to misuse the content and/or the goods and services provided on the Website.

By completing registration, as well as by confirming each Order, the Buyer confirms that they have read and accepted these General Terms and Conditions.

If you do not agree with these GENERAL TERMS AND CONDITIONS, please do not use the Website to make purchases.

The Seller reserves the right to amend these GENERAL TERMS AND CONDITIONS at any time and at its sole discretion. The amended Terms shall enter into force immediately upon their publication on the Website and shall become binding for the USER from the moment of their acceptance. For the avoidance of doubt, by confirming each Order, the Buyer declares that they have read and accepted the General Terms and Conditions published on the Website as of the date of the Order.

SHOP MDL and its physical stores make serious efforts to maintain the accuracy of the information presented on the Platform. The Seller complies with all applicable legal requirements concerning the compliance of goods with their description, qualities and characteristics.

The use of the services of the SITE may only be carried out for personal/non-commercial purposes. Use of the services for any other purposes shall not be binding on the Supplier.

“EMDIEL” Ltd. is the holder of the trademarks “MDL SHOP ANYTIME” and “MDL MODERNLY DESIGNED LIFESTYLE”. These trademarks are subject to legal protection under the Bulgarian Marks and Geographical Indications Act. Any unauthorized use, reproduction, imitation or distribution of similar signs without the explicit written consent of the rights holder constitutes an infringement of trademark rights and is subject to civil, administrative and criminal liability, including under Article 172b of the Bulgarian Penal Code.

The content of the Site – including information, trademarks, data and images – is property of “EMDIEL” Ltd. and/or its partners and suppliers and is protected by copyright and trademark rights. No part of this SITE may be reproduced in any form, for any purpose, or in any medium without the explicit written consent of “EMDIEL” Ltd. and/or its partners. Any unauthorized use of the content will be construed as a violation of the Copyright and Related Rights Act, the Trademarks and Geographical Indications Act, and other applicable laws. The news on the Site is intended solely for personal information. Any use beyond this purpose, such as publication, reproduction, any form of commercial use, as well as the transmission to third parties in whole, in part or in an edited form without the knowledge and approval of “EMDIEL” EOOD is prohibited.

The Company acts as a personal data controller pursuant to Regulation (EU) 2016/679 (GDPR) and the Bulgarian Personal Data Protection Act. By these Terms, “EMDIEL” Ltd. declares that it complies with all applicable data protection legislation and processes personal data in accordance with its Privacy Policy, which you can find here.

An Order cannot be placed without prior acceptance of these General Terms and Conditions, which is effected by ticking the checkbox “I agree to the General Terms and Conditions”. By ticking the checkbox explicitly labeled “I agree to the General Terms and Conditions”, located on the website shop.mdl.bg, you shall be deemed to have accepted and agreed to these General Terms and Conditions.

The sales contract concluded between the User and “EMDIEL” Ltd. shall be governed by these General Terms and Conditions, as well as by any additional agreements between the User and the Seller, as reflected in the Order, its confirmation, and the delivery of the products.

In the event that incorrect or false information is provided, the User shall lose the right to receive the placed Order.
After entering the required details and selecting a payment method, by clicking the button explicitly labeled “Complete Order”, the Order shall be deemed to have been placed and a binding contract for the purchase of the selected goods shall be deemed concluded.

Upon placing an Order in the online store shop.mdl.bg, you will receive an automatic confirmation of the Order at the email address provided by you, informing you that the Order has been successfully received and accepted.

Users may correct or amend the data entered in their Account at any time, provided that they have registered. If an Order has been placed as a guest, the User’s data shall not be stored and cannot be modified.

Definitions

Throughout these General Terms and Conditions, the following words and phrases, when capitalized (including when used with articles and/or in the plural), shall have the meanings set forth in this section, unless the context requires otherwise:

Seller – the company “EMDIEL” Ltd.

Website – the internet address shop.mdl.bg, as well as all applications that provide the User with access to the catalog of items offered at that address.

User – any person who has visited the Website and/or used its Services or content.

Account – a section of the Website consisting of an email and password, enabling the User to place Orders and containing information about the User and a history of some of their activities on the Website (orders, invoices, etc.), as well as providing the ability to exchange information with the Seller.

Order – a request by the User to purchase selected goods or services offered on the Website. To avoid any doubt - only orders with a valid delivery address within Bulgaria shall be considered valid.

Distance Contract – a contract concluded on the basis of an offer made by the Seller via the website shop.mdl.bg, in which the parties are not in physical contact with each other from the date the offer is made until the contract is concluded. To avoid any doubt - individual orders are treated as separate contracts.

Services – the provision of any electronic services by the Website to enable the User to communicate with the Seller and/or purchase the goods offered in the Website’s catalog.

Electronic Voucher – a random combination of letters, numbers and symbols. The Seller sends this combination to the User if the User decides to purchase an electronic voucher. The electronic voucher provided to the User is equal to the amount paid by the User. The electronic voucher may be used once and must be redeemed within a period not exceeding 1 month from the date of issuance. When using an electronic voucher, the amount of the voucher already paid is deducted from the total order amount.

Promo Code – a random combination of letters, numbers and symbols entitling the User to a fixed and/or percentage discount on the Order total. Promo codes are provided by the Seller to the User via email to the address specified by the User or via a banner on the website and are valid for one calendar month.

Order Receipt – the date on which delivery was made to the address specified by the User.

Cart – a virtual list consisting of the items selected for purchase by the User.

Final Price – all costs incurred by the Buyer in connection with the purchase of the goods, including the cost of Delivery. To avoid any doubt – in cases where the User benefits from free Delivery, the cost of Delivery shall not be calculated and shall be borne by the Seller, in accordance with these Terms and Conditions.

Virtual POS Terminal – a payment system integrated into the website that accepts debit and credit cards. The information used for payments via the POS terminal is processed exclusively by the bank.

Confidentiality

The Client/User/Buyer agrees that by providing any of their personal or other data to SHOP MDL, they consent to such data being used by SHOP MDL for the following purposes:
(1) maintaining the Client’s/User’s/Buyer’s account, including registering orders, shipping ordered products, providing ordered services, invoicing, resolving disputes with Clients/Users/Buyers regarding their Orders, or handling their requests;
(2) sending commercial communications, periodic notifications via email or SMS;
(3) conducting market research, tracking and monitoring sales and customer/user behavior.

The Client/User/Buyer agrees to grant SHOP MDL unlimited access in terms of scope and time to any materials and information they submit to the Seller through or in connection with the Platform, regardless of whether they have placed an Order or completed a transaction through the Platform. SHOP MDL is not obliged to treat such information as confidential, unless required to do so by applicable law.

By providing their data to SHOP MDL (including email), the Client/User/Buyer gives their explicit consent to be contacted by SHOP MDL or by third parties such as couriers, merchants, partners of SHOP MDL, marketing service providers, governmental, municipal or non-governmental agencies, or companies in the insurance or financial services sector, where provided for by applicable legislation, as well as other companies with which SHOP MDL may develop joint programs for offering Goods and/or Services on the market, etc.
 
Ordering of items 

The ranking of goods based on specific search parameters set by Clients/Users/Buyers is carried out by SHOP MDL as follows: The User defines criteria according to which the products are displayed in the general product catalog and, through a filter, may determine the sorting criteria. The available sorting options for the User’s selected products are as follows: discounted items (“Sale”), “Recommended,” by date – ascending order, by date – descending order, by name – descending order, by name – ascending order, by price – ascending order, by price – descending order, default.

The characteristics or prices of the products described on the Platform may be changed by the Seller at any time.

The User agrees that there may be differences between the prices listed on the Website and those in the Seller’s physical stores within the country.

The Website uses data officially provided by the manufacturer regarding the color range of the goods offered in the catalog. The User agrees that differences in color between the delivered and the ordered product are possible, given that the colors shown in the images depend on the User’s computer configuration as well as their visual perception.

Contract Conclusion

Contracts concluded through the Website are made in the Bulgarian language.

The concluded contracts are stored by the Seller. The User may review their orders at any time in the relevant section of their profile.

An “Order” is a request made by the User to purchase specific items. The Order is considered submitted after the User receives an automatic email containing an order number.

Ordering goods from the catalog can be done either by selecting the option to visit the Website as a “guest” or as a registered user.

By ordering goods displayed in the Website catalog, the User agrees to the Terms and Conditions of use.

Once logged into their Profile, the User may place an order for one or more items by selecting the color, size and quantity of each product displayed in the catalog. After all options have been selected, the User adds the items to the Cart by clicking the “Add to cart” button. After all desired items are added to the Cart, on the order page the User enters their details:

• Names, delivery address, contact phone number, email address;
• Company details for invoicing (in the case of an order by a legal entity);

and selects a payment method.

Before completing the order by clicking the “Submit Order” button, the User may correct the entered information by returning to previous steps of the ordering process.

Order confirmation is completed when the User receives a second automatic email containing the shipment tracking number.

The Seller is not liable to Clients/Users/Buyers for lack of current availability of a given product until the moment of confirmation.

In case of changes in the pricing of the offered goods, the Seller reserves the right to cancel placed orders, while being obliged to notify the User of the change and the updated price of the ordered item.

Despite the efforts of the Website team to maintain accurate stock availability, the User agrees that discrepancies may occur between the availability shown at the time of ordering and the actual availability after the order is placed. If one or more items in an order are out of stock, the Seller shall contact the Buyer using the details provided in their Profile. In such cases, the Buyer may choose one of the following options:

• removal of the unavailable item(s) from the order and confirmation (within no more than 10 calendar days) of delivery of the remaining items;
• cancellation of the order.

In cases where an item purchased by bank card is later found to be out of stock, the amount for the missing item(s) will be refunded to the same bank card used for the purchase.

The User agrees that saving the electronic address of an item on the Website and/or saving it in the “Favorites” category does not guarantee the availability of the respective item, nor the period during which the item will be offered in the Website catalog. In this regard, the User agrees that such saved items may be removed from the Website catalog and their status changed to “Inactive.”

If a Client orders an item with the status “Inactive,” the Seller has the right to automatically cancel the order. In such cases, the Seller shall notify the User by sending an automatic message to the email address provided in the registration form.
In the event of a system technical error in the price of a given item, the Seller has the right to automatically cancel the order. In such cases the Seller shall notify the User by sending an automatic message to the email address.
Each order placed through the Website is considered a separate distance contract concluded between the Seller and the Buyer. To avoid any doubt, once the User fills in their details and selects a payment method, by clicking the button explicitly labeled “Submit Order,” the order is deemed placed and the distance purchase contract is considered concluded.

Orders placed on weekends and holidays are processed on the first working day.

Payments

The goods ordered through the Website may be paid for in the following ways:

• cash on delivery, upon receipt of the order; 
• by debit/credit card via the Website’s virtual POS terminal. The following card types are accepted: Visa, MasterCard; 
• by bank transfer to the Seller’s account, which is displayed when selecting the “Bank Transfer” payment method in the cart. The following transaction details must be entered: EMDIEL Ltd. – reference: order number IBAN: BG27UNCR70001521837531 SWIFT/BIC: UNCRBGSF; 
• via PayPal – an online payment system. PayPal allows online money transfers and represents an electronic alternative to traditional payments such as checks and bank transfers; 
• via consumer credit from UniCredit Consumer Financing – payment in equal monthly installments for products over €255.65 / 500 BGN, with a maximum repayment period of 9 months. You can calculate your monthly installment using the Credit Calculator available on each product page. To apply for consumer credit when ordering a product, select the payment method “Buy on Credit” and follow the steps. The Terms for consumer credit can be viewed here; 
• installment purchase through TBI Bank – repayment in equal monthly installments with a maximum repayment period of 48 months. The respective repayment plan is provided with each product. 

In the case of online payments or bank transfers, SHOP MDL is not responsible for any fees, commissions or other additional charges incurred by the User or their bank in connection with the transaction, including currency exchange fees applied by the bank issuing the User’s card when the currency differs from BGN.

Delivery

Goods purchased through the Website are delivered to the Buyer via the courier companies Speedy AD, SAMEDAY and DHL.

The goods are shipped to the User only after the Seller has received confirmation of the placed order. After confirmation by the Buyer, the Order is delivered as follows:

• For Orders placed outside periods of active discounts – within up to 3 (three) working days;
• For Orders placed during active discount periods – within up to 5 (five) working days.
• The available delivery methods are as follows:

  For Orders with a value lower than €99.00 / BGN 193.63, the User uses the Paid Delivery option in the amount of €5.99 / BGN 11.71 (VAT included) for delivery to an address.
  
  For Orders with a value higher than €99.00 / BGN 193.63, the User benefits from Free Delivery.
  
  Orders delivered to a courier office will be held there for no longer than 10 (ten) days. After this period, the Seller has the right to cancel the Order without explicitly notifying the User.
  
  For Orders delivered to an address, the User is obliged to provide access and the possibility to receive the Order. If the User is not found at the specified address, the Seller reserves the right to cancel the Order or leave it at the nearest courier office, where it will be held for no longer than 10 (ten) days, after which the Order is considered canceled and the goods are returned to the Seller.
  
  Goods ordered through the Website include a “Preview” option; in case of refusal, the return shipping costs are borne by the recipient.
   

  Order Cancellation and Return of Goods
  
  For a User who has refused to pay for an Order with cash on delivery more than 2 (two) times, the Seller allows the purchase of goods only on the condition that the User pays via the Website’s Virtual POS terminal. If the User refuses to pay in this manner, the Seller has the right to cancel the respective Order without explicitly notifying the User.

  The User may cancel an already confirmed Order as follows:

  The User has the right to refuse the Order if the packaging and the goods inside have been damaged during transportation. For the avoidance of doubt, if the packaging is damaged but the goods are not, the User may not rely on this clause.
  
  Goods may be returned to the Seller provided they are in the same condition as received (with all attached labels intact and not removed), and have not been treated with substances (perfumes, detergents, etc.), soiled, damaged or used. Items with a value exceeding €102.26 / BGN 200 may be returned only if the security seal applied by the Seller is intact; once removed, the item is not eligible for return.
  
  For the avoidance of doubt, the User has the right to return the goods within 14 days from the date of receipt of the Order, as provided by the Consumer Protection Act (Art. 50).
  
  The terms and deadlines for returning goods comply with the requirements of the Consumer Protection Act.
  
  For goods sold by SHOP MDL, a legal guarantee of conformity applies in accordance with the Consumer Protection Act, aligned with the minimum warranty periods applicable within the European Union.
  
  The Seller is liable for any lack of conformity that exists at the time of delivery and becomes apparent within two years, but no later than 14 days after discovering the non-conformity with the contract.
  
  Buyers have the right to submit complaints regarding purchased goods in accordance with the provisions of the Act on the Supply of Digital Content and Digital Services and the Sale of Goods. Complaints are submitted via the SHOP MDL website through a designated form available at the provided link.
  
  SHOP MDL maintains a register of submitted complaints in compliance with the Consumer Protection Act and the Act on the Supply of Digital Content and Digital Services and the Sale of Goods.

  The Seller undertakes to provide the Buyer with the standard withdrawal form in accordance with Annex № 6 (available for download at the provided link).
  
  The Seller reserves the right not to accept returns of swimsuits, underwear, jewelry, perfumes, and glasses and not to refund the amount paid by the User under Art. 57 of the Consumer Protection Act. For the avoidance of doubt, if such items are returned, the Seller shall send them back to the Buyer, with shipping costs borne by the Buyer.

  When the User exercises their right of withdrawal, they are liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics, and proper functioning.
  
  When returning goods to the Seller, the User must follow these steps and provide the following information:

  Return shipping costs are borne by the Buyer. For the avoidance of doubt, returning goods at the Seller’s expense is considered a violation of these Terms and Conditions. In such cases, the Seller may accept the return but reserves the right to deduct the return shipping costs from the refunded amount. 
  
  Returning goods with a “cash on delivery” option is considered a violation of these Terms and Conditions. Such returns will not be accepted until the cash on delivery option is removed.
   
  Through these Terms and Conditions, the Seller informs the Buyer that they may contact a local ADR (Alternative Dispute Resolution) body in case of disputes that cannot be resolved directly with the Seller.
  
  Additional information about ADR:
  ADR is an out-of-court procedure for resolving domestic and cross-border disputes related to contractual obligations arising from sales or service contracts between a trader established in the EU and a consumer residing in the EU, through the intervention of a dispute resolution body that proposes or imposes a solution or facilitates an amicable agreement.

  Refund of Paid Amounts
  
  In the event of Order cancellation the refund of an amount paid by the Buyer via bank card shall be carried out by the Seller only by bank transfer within 14 (fourteen) days from the date of the order.
  
  In the event of missing item(s) from an Order the refund of an amount paid by the Buyer via bank card shall be carried out by the Seller only by bank transfer within 14 (fourteen) days from the date of the order.
  
  The Seller undertakes to refund the amount paid by the Buyer within 14 (fourteen) days from the date on which the Seller has received, inspected and approved the returned shipment and only if the User has provided proof of its return to the Seller.
  
  If the Order was paid by card through the Website’s Virtual POS terminal, the amount will be refunded to the same card used for the payment.
  
  If the Order was paid via cash on delivery, the amount will be refunded to the personal bank account specified by the User, in euros.
  
  In this regard, the Seller is not responsible for incorrectly provided bank account details. The Seller’s responsibility to refund an amount for a canceled order ends at the moment the bank transfer is executed to the account specified by the User.
  
  In cases where the User has requested an invoice issued to a legal entity, the latter will receive a credit note from the Seller.

  “EMDIEL” Ltd. reserves the right to update and amend the store’s Terms and Conditions in order to reflect any changes in the way the store operates, its terms or any changes in legal requirements. The amendments enter into force from the moment they are published on the online store’s website. In the event of such changes, the amended version will be published; therefore, you are kindly requested to periodically review the content of the Terms and Conditions. For each transaction in the online store, the Terms and Conditions in force at the time of concluding the distance contract between the User and “EMDIEL” Ltd. shall apply.
